Nutrinity Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Nutrinity mobile application, website at nutrinity.app, and related services (collectively, the "Services") provided by Nutrinity LLC ("Nutrinity," "we," "our," or "us").

Please read these Terms carefully. By creating an account, downloading the app, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years of age to create an account or use the Services. By using the Services, you represent that you are at least 18 and have the legal capacity to enter into these Terms.

2. Description of Services

Nutrinity is an AI-powered nutritional planning service that generates personalized meal plans, recipes, grocery lists, and ingredient substitutions based on your dietary preferences, fitness goals, schedule, body measurements, location, and local grocery availability.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. Not Medical Advice

Nutrinity is not a medical service, and the Services do not provide medical advice, diagnosis, or treatment. The content, meal plans, recipes, nutrition estimates, and recommendations provided through the Services are for general informational and educational purposes only.

• Always consult a qualified healthcare provider, registered dietitian, or other licensed professional before making significant changes to your diet, exercise routine, or lifestyle.
• Do not use the Services if you have a medical condition that requires professional dietary supervision, including but not limited to eating disorders, diabetes, kidney disease, heart conditions, pregnancy, or breastfeeding, without first consulting your healthcare provider.
• Never disregard professional medical advice or delay seeking it because of something you read or saw in the Services.
• If you believe you have a medical emergency, call your doctor or emergency services immediately.

Nutrinity does not guarantee any specific health, weight loss, fitness, or nutritional result. Individual results vary.

4. Account Registration and Security

To use most features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information.
• Keep your account information up to date.
• Maintain the confidentiality of your password and credentials.
• Notify us immediately at security@nutrinity.app of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.

We may suspend or terminate your account if we believe you have violated these Terms or if your account shows signs of fraudulent or harmful activity.

5. Subscriptions and Payments

5.1 Subscription Plans

Nutrinity offers paid subscription plans ("Nutrinity Plus") that unlock additional features. Plan options, pricing, and trial offers are presented in the app at the time of purchase.

5.2 Free Trial

We may offer a free trial period for new subscribers. Unless you cancel before the end of the free trial, you will be automatically charged the subscription fee for the plan you selected when the trial ends. Trial eligibility and length are at our discretion and may vary.

5.3 Billing Through Apple

All subscriptions are billed through your Apple ID account. Payment will be charged to your Apple ID at confirmation of purchase.

5.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period (monthly or yearly, as selected) at the then-current rate, unless you cancel at least 24 hours before the end of the current period. Your Apple ID will be charged for renewal within 24 hours prior to the end of the current period.

5.5 Managing and Canceling Your Subscription

You can manage or cancel your subscription at any time in your Apple ID account settings (Settings → [Your Name] → Subscriptions on iOS, or via the Apple ID website). Cancellation takes effect at the end of the current billing period. Deleting the app does not cancel your subscription.

5.6 Refunds

All purchases are processed by Apple and are subject to Apple's refund policy. Refund requests must be submitted to Apple at reportaproblem.apple.com. We do not process refunds directly.

5.7 Price Changes

We may change subscription prices from time to time. We will notify you of price changes before they take effect. If you do not agree to the new price, you may cancel your subscription before the change takes effect.

6. License to Use the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Nutrinity app for your personal, non-commercial use on devices you own or control.

You may not:

• Copy, modify, distribute, sell, lease, or sublicense any part of the Services.
• Reverse engineer, decompile, or attempt to extract the source code of the Services.
• Use the Services to develop a competing product.
• Use automated systems (bots, scrapers, etc.) to access the Services without our written permission.
• Remove or alter any proprietary notices.
• Use the Services in any way that violates applicable law or these Terms.

7. Apple App Store Terms

If you download the Services from the Apple App Store, the following additional terms apply:

• These Terms are between you and Nutrinity, not Apple. Apple is not responsible for the Services or their content.
• Apple has no obligation to provide maintenance or support for the Services.
• In the event the Services fail to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price; otherwise, Apple has no warranty obligation.
• Apple is not responsible for addressing claims by you or any third party relating to the Services.
• Apple is not responsible for investigating, defending, settling, or discharging any third-party intellectual property infringement claim related to the Services.
• You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and you are not on any U.S. government list of prohibited or restricted parties.
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

8. User Content

8.1 Your Content

The Services may allow you to submit information, including dietary preferences, health information, photos, feedback, ratings, and other content ("User Content"). You retain ownership of your User Content.

8.2 License to Us

By submitting User Content, you grant Nutrinity a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, and process your User Content solely for the purpose of operating, providing, improving, and developing the Services (including training and improving our AI models on aggregated or de-identified data). We will not publicly display your User Content without your consent.

8.3 Responsibility for Your Content

You are responsible for the User Content you submit and represent that:

• You have the right to submit it.
• It is accurate and not misleading.
• It does not violate any third-party rights or applicable law.

We may remove or refuse to display User Content that violates these Terms or that we consider harmful, inappropriate, or unlawful, in our sole discretion.

9. Acceptable Use

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose.
• Harass, threaten, or abuse other users or our staff.
• Impersonate any person or entity.
• Attempt to gain unauthorized access to other accounts, our systems, or third-party systems through the Services.
• Interfere with or disrupt the integrity or performance of the Services.
• Upload viruses, malware, or other harmful code.
• Use the Services to send unsolicited marketing or spam.
• Misrepresent your health information in a way intended to harm yourself or others.

We may suspend or terminate your access to the Services for violating this section.

10. Intellectual Property

The Services, including all software, designs, text, graphics, illustrations, logos, trademarks, recipes, content generated by our AI, and other materials, are owned by Nutrinity or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms transfers any intellectual property rights to you, except for the limited license described in Section 6.

"Nutrinity" and the Nutrinity logo are trademarks of Nutrinity LLC. You may not use our trademarks without our prior written consent.

11. Third-Party Services and Links

The Services may integrate with or link to third-party services (such as the Apple App Store, grocery store websites, or recipe sources). We are not responsible for the content, policies, or practices of third-party services. Your use of any third-party service is subject to that service's terms and policies.

12. AI-Generated Content

The Services use artificial intelligence to generate meal plans, recipes, and other content. AI-generated content may contain errors, omissions, or inaccuracies, including incorrect nutritional information or ingredient suggestions that conflict with your stated allergies or restrictions. Always review AI-generated content carefully before relying on it. If you have a serious allergy or medical restriction, verify ingredients before purchasing or consuming any recommended food.

We do not warrant that AI-generated content is accurate, complete, safe, or suitable for your particular needs.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free.
• Any defects will be corrected.
• The Services will meet your specific requirements or expectations.
• AI-generated recommendations will be accurate or safe for your individual circumstances.
• Any health, fitness, or weight goals will be achieved.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above exclusions may not apply to you.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUTRINITY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR HEALTH OUTCOMES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow these limitations. In those jurisdictions, the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Nutrinity and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Your User Content.

16. Termination

You may terminate your account at any time by deleting it through the app's Settings or by emailing support@nutrinity.app. Deleting your account does not automatically cancel your subscription, you must cancel separately through your Apple ID settings.

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms, fraudulent activity, or extended inactivity, with or without notice.

Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination (including Sections 8.2, 10, 13, 14, 15, 17, and 18) will survive.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of New York, United States, without regard to its conflict of laws principles.

17.2 Informal Resolution

Before filing a formal claim, you agree to contact us at legal@nutrinity.app and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

17.3 Arbitration

Any dispute arising out of or related to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration administered by AAA under its applicable rules, except that you may bring an individual claim in small claims court. You and Nutrinity waive any right to a jury trial or to participate in a class action.

17.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or equitable relief in court to protect intellectual property rights.

18. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nutrinity regarding the Services.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

No Waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms freely.

Notices. We may provide notices through the app, by email, or by posting on our website. Notices to us should be sent to legal@nutrinity.app.

Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.

19. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the app, by email, or by other means before the change takes effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services and cancel your subscription.
